1. Acceptance of Terms
By accessing or using Auralogic Texas ("Company," "we," "us," or "our") services, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these terms, please do not use our services.
These terms constitute a legally binding agreement between you and Auralogic Texas. By using our website, services, or products, you acknowledge that you have read, understood, and agree to be bound by these terms.
2. Description of Services
Auralogic Texas provides comprehensive AI-powered digital solutions, including but not limited to:
- Custom website design, development, and optimization
- AI-powered content generation and SEO optimization services
- Marketing automation and advanced analytics tools
- E-commerce solutions and secure payment processing
- Machine learning algorithms and predictive analytics
- Business process automation and workflow management
- Cloud hosting and technical support services
- AI chatbot development and integration
- Social media management and scheduling
- Email marketing automation
We reserve the right to modify, suspend, or discontinue any service at any time with or without notice.
3. User Responsibilities and Account Terms
Account Registration
- You must provide accurate, current, and complete information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You must be at least 18 years old to use our services
- One person or legal entity may not maintain more than one account
- You must notify us immediately of any unauthorized use of your account
Acceptable Use
You agree not to:
- Use our services for any illegal or unauthorized purpose
- Violate any laws in your jurisdiction
- Infringe upon the intellectual property rights of others
- Transmit any malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the integrity or performance of our services
- Collect or harvest any personally identifiable information from our services
- Use our services to send spam or unsolicited communications
4. Payment Terms and Billing
Pricing and Payments
- All prices are in USD unless otherwise specified
- Prices are subject to applicable federal, state, and local taxes
- Payments are processed securely through Stripe or other approved payment processors
- Subscription fees are billed in advance on a monthly or annual basis
- One-time project fees are due according to the payment schedule in your service agreement
- We reserve the right to change our pricing with 30 days' notice
- Failed payments may result in service suspension or termination
Refunds and Cancellations
- 30-day money-back guarantee for new subscription services
- Cancellations must be submitted in writing and take effect at the end of the current billing period
- Custom development work is non-refundable after project initiation and approval of initial deliverables
- Refund requests must be submitted to jayson@auralogictx.com
- Refunds are processed within 10-14 business days
- No refunds for partial months or unused portions of annual subscriptions
Late Payments
Late payments may incur a fee of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is less. We reserve the right to suspend services for accounts with overdue balances.
5. Intellectual Property Rights
Our Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof, are the exclusive property of Auralogic Texas and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Client Content and Deliverables
- Upon full payment, clients receive ownership of custom-developed websites and content created specifically for them
- Auralogic Texas retains ownership of proprietary tools, frameworks, and methodologies used in service delivery
- Clients grant us a license to use their content solely for the purpose of providing services
- We may showcase completed projects in our portfolio unless otherwise agreed in writing
- Third-party software, plugins, or tools remain the property of their respective owners
6. Service Level Agreement and Uptime
We strive to maintain 99.9% uptime for our hosting services. However, we do not guarantee uninterrupted access and are not liable for:
- Scheduled maintenance (with advance notice when possible)
- Force majeure events beyond our reasonable control
- Issues caused by third-party services or infrastructure
- Client-caused outages or misconfigurations
- DDoS attacks or other malicious activities
7. Data Privacy and Security
We take data security seriously and implement industry-standard security measures to protect your information. However, no method of transmission over the Internet is 100% secure.
- We collect and process data in accordance with our Privacy Policy
- Client data is stored securely using encrypted databases
- We perform regular security audits and updates
- Clients are responsible for maintaining secure passwords and access credentials
- We will notify clients of any data breaches as required by law
8. Warranties and Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- Our services will meet your specific requirements
- Our services will be uninterrupted, timely, secure, or error-free
- Results obtained from using our services will be accurate or reliable
- Any errors in our software or services will be corrected
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURALOGIC TEXAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability to you for all claims arising from or related to our services shall not exceed the amount you paid us in the 12 months preceding the claim, or $1,000, whichever is greater.
10. Indemnification
You agree to indemnify, defend, and hold harmless Auralogic Texas, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
- Your access to or use of our services
- Your violation of these Terms and Conditions
- Your violation of any third-party rights, including intellectual property rights
- Any content you submit or transmit through our services
11. Termination
We reserve the right to suspend or terminate your account and access to our services at our sole discretion, without notice, for conduct that we believe:
- Violates these Terms and Conditions
- Is harmful to other users, us, or third parties
- Violates applicable laws or regulations
- Is fraudulent or involves stolen payment information
Upon termination, your right to use our services will immediately cease. We are not obligated to provide refunds for terminated accounts, except as required by law.
12. Dispute Resolution and Governing Law
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Dispute Resolution
Any dispute arising from or relating to these terms or our services shall be resolved through:
- Good faith negotiation between the parties
- If negotiation fails, binding arbitration in accordance with the American Arbitration Association rules
- Arbitration shall take place in Travis County, Texas
- Each party shall bear its own costs and attorneys' fees
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
13. Changes to Terms and Conditions
We reserve the right to modify these Terms and Conditions at any time. We will notify users of material changes via email or through a prominent notice on our website at least 30 days before the changes take effect.
Your continued use of our services after changes become effective constitutes acceptance of the revised terms. If you do not agree to the new terms, you must stop using our services.
14. Miscellaneous Provisions
Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Auralogic Texas.
Severability
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights.
Assignment
You may not assign or transfer these terms or your account without our prior written consent. We may assign our rights and obligations without restriction.
